随着大量民营企业的上市，市值管理成为当今中国资本市场的一大热点。由于市值管理乃国人首创，无发达市场现成的模板可循，再加上中国新兴资本市场的特色，对市值管理内涵的理解无奇不有，有的将市值管理理解为管理市值，于是走上了操纵股价的道路；有的将市值管理等于投资者关系，以致于投资者调研越多公司市值跌得越多而不知其所以然。

正是由于存在不同的市值管理理解，由此衍生出了千奇百怪的市值管理实践，总体来说形成了六大市值管理模式。

这其中既有违法违规的邪门歪道式的所谓市值管理，也有只及一点无触其它的偏道式的市值管理，当然也有价值创造、价值营销与价值经营并重的市值管理正道。因此，总结当前市场上存在的市值管理模式，对于上市公司全面和正确了解市值管理，从而开展科学、有效和合规的市值管理，具有重要的现实意义。

一、券商市值管理模式：盘活存量

券商市值管理业务的兴起得益于近年来券商业务创新的发展，主要围绕着上市公司大股东存量持股市值的盘活来设计。

1、股权托管理

就是通过游说将上市公司股东的股权托管到该券商某个营业部，等到股东减持时以获取经纪业务佣金收入。

这是券商的一个传统经纪业务，在今天也被纳入了券商的市值管理业务之中，其主要目的除了获得佣金收入之外，还为后续的市值管理业务创造条件。

2、大宗交易

如果上市公司股东持有的股票已经解禁，需要套现但不想形成对二级市场股价的冲击，这时候券商可通过大宗交易来帮助上市公司大股东实现这一目的，一方面券商有交易通道，另一方面券商可帮助寻找接盘方或券商直接接盘。

3、股权质押融资

当上市公司股东持有的股权仍处于禁售期，或解禁了但不想降低持股比例，如果需要钱，这时证券公司即可为上市公司股东开展股权质押融资，即股东把股权质押给券商，从券商那获得一笔资金，到期还本付息。

质押率一般为4折左右，主板4折，中小板和创业板股票3折，也要看上市公司未来的业绩如何。年利息一般在8%左右，比银行利息要高一些，但放款效率高，而且对资金用途无限制。

4、融券业务

如果上市公司股东持有的股票标的属于可开展融券的股票，而且所持股票也已解禁，则券商可以从股东那借出股票，到期再还给该股东，且支付一定的利息。

5、约定式回购

不在融券标的股票范围内的上市公司股东如急需资金，但又看好未来股价走势，这时券商可提供约定式回购业务，即上市股东先以约定的价格卖给券商获得资金，同时约定未来一段时间后以约定的价格从券商手中再购回。

6、高抛低吸

即上市公司股东将股票交由券商管理，由券商根据市场行情做高抛低吸，到约定的时间再将股票交由该股东，这其中高抛低吸产生的收益由双方按约定的比例进行分配。

以上是券商开展市值管理的6种方式，共同点是帮助上市公司股东盘活存量市值，从而获得一定的佣金收入或利息收入。

二、大宗交易商市值管理模式：拉升股价

近几年随着越来越多的北大企业管理培训中民营企业走上中小板或创业板，这些民营上市公司的创始股东或PE机构存在较大的减持套现冲动，以获得一定的现金以改善生活或兑现投资收益。

为了减轻二级市场直接减持造成的公司股价的冲击，减持方一般都通过大宗交易来实现减持，二级市场减持需求巨大，这就给二级市场专门从事大宗交易业务的机构提供了前所未有的业务机会，大宗交易商的市值管理业务由此兴起。

通常的大宗交易为，减持方一般在收市后以收盘价的9.6折价格将需要减持的股票通过大宗交易系统卖给大宗交易商，大宗交易商第二天或第三天再将股票在二级市场上以不低于昨日收盘价9.6折直接卖出。

大宗交易的折扣率决定于该股票最近的换手率，换手较高的折扣率可升到

9.8折，甚至有的还有溢价；换手率低的折扣率可低至9折。然而，变型后的大宗交易就有点撞红线的味道，这就是大宗交易商所兜售的所谓市值管理，有两种模式：

1、先拉升后交易的大宗交易市值管理。

即上市公司减持股东事先与大宗交易商谈好交易与分成协议，然后大宗交易商以雄厚的资金实力在二级市场拉升股价，然后通过大宗交易将股票以正常的折扣价卖给大宗交易商，大宗交易商第二天或第三天以当天正常的市场价格卖出。

2、先大宗交易后拉升的大宗交易市值管理。

即上市公司减持股东事先然后通过大宗交易将股票以正常的折扣价卖给大宗交易商，大宗交易商再以雄厚的资金实力在二级市场拉升股价至目标价位后卖出，最后减持股东与大宗交易商按约定的比例将收益分成。

三、私募基金市值管理模式：联合坐庄

尽管坐庄的法律风险和市场风险很大，但由于高盈利的巨大诱惑，中国证券市场从来不缺坐庄者，坐庄者以二级市场上的各种私募基金为多。坐庄的方式有独立做庄的，也有与上市公司联手坐庄的，因为与上市公司联手坐庄胜算大。坐庄者也在不断与时俱进，为了获得与上市公司联合坐庄的支持，也打起了给上市公司做市值管理的旗号，这就是私募基金的市值管理模式。

私募基金市值管理的基本做法是，先跟上市公司大股东或上市公司的管理层谈好联合坐庄计划，这其中包括双方的出资金额、收益分成比例、上市公司配合出利好等；

然后庄家在二级市场上打压吸筹，上市公司配合出利空消息，如建仓成本为每股10元；吸筹到控盘程度后开始拉升股票，上市公司配合出利好，如年报业绩大幅预增、高比例送转股、对外并购大手笔、优质资产注入、核心员工股权激励方案推出、新产品、新技术重大突破等，同时私募通过关系不断的通过分析师出推荐买入报告，不断的在各种媒体上宣讲该公司的成长故事和投资价值，将股价不断推升，如从每股10元推升30元甚至50元等；

最后在市场一遍看好中逐步出货了结，如果实在出不了货，找有朋友在的公募基金接盘。成功出货后，先是庄家与上市公司大股东或核心高管按约定比例分配投资收益，再是庄家拿出一部分的收益分给接盘的公募基金经理。

四、财经公关商市值管理模式：价值营销

传统的财经公关公司的业务主要是为IPO公司提供IPO过程中的媒体关系管理和投资者关系管理服务。媒体关系管理主要是为IPO企业各类媒体上发正面报道，以及当媒体有负面报道时帮IPO企业摆平媒体，手段主要是与媒体开展合作，如投放广告、赞助活动等。投资者关系管理主要是为IPO企业组织IPO定价过程中的路演活动和举办上市成功后的庆功酒后等。

总体来说，IPO阶段的财经公关服务的知识含量不高，因此，行业进入门槛低、竞争较为激烈，但IPO火热时均能活得较好。由于之前IPO已暂停，主要依

赖于IPO的财经公关公司多数无事可做，于是纷纷将眼光转向了已上市公司的公司。如果仍以提供财经公关服务为由游说上市公司则难度较大，为此，不少财经公关公司也打起了给上市公司提供市值管理咨询服务的旗号走访上市公司，但其提供的服务内容仍然是传统的财经公关服务，如向上市公司提供媒体关系管理服务和投资者关系管理服务。

经历过IPO的上市公司学习能力很强，在IPO过程中学习了如何与媒体和投资者打交道，因此，财经公关公司的市值业务在上市公司中推广难度较大。

五、管理咨询公司市值管理模式：产业整合

管理咨询公司是最早给企业提供智力咨询服务的一类中介服务机构，主要集中于战略管理咨询、营销战略咨询、人力资源战略咨询、管控架构咨询、信息化咨询、资本运作咨询等。由于中国优秀的企业基本都上市了，为了切入到为上市公司提供管理咨询服务，近年来不少管理咨询公司也打出了为上市公司提供市值管理咨询服务的旗号。

in the morning,a librarian let me to wipe the mirror in every toilet from one to

I like to live in the country that the sun rises in the morning with the first golden light & the first sound from the cock.. All the animals & plants begin their life from this moment on and some of the animals begin their sleeping the new day. This is a very beautiful beginning in the world that you just can see all these in the country not in the city.

Their family is poor that they even do not have more money after they finish all their meals.but my mother was so so interested in studying. Everyone has hobbies.Hobbies are the important things in our life.I also

Lingling asked her friends to come to her home. She wanted to make

something nice for them to eat. She just learned how to make a scrambled egg.

She tried to make it for them. She broke eggs in a bowl and put some salt in it.

Then she placed a frying pan on the stove, and put a little cooking oil in the

pan. While she was waiting for the oil to become hot, she stirred the egg in the

bowl. As soon as the oil became hot, she poured the egg into the pan, As one

side turned yellow, she turned it over. When both sides were cooked.the

scrambled egg was ready to eat.
